Terms of Service

2. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use Brandclip. Brandclip is not intended for children under 16. If you use Brandclip on behalf of a business, you represent that you are authorized to do so.

3. Accounts and access

To use most features, you must create an account, which may include signing in through a third-party authentication provider such as Google. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account.

You must notify us promptly of any unauthorized use or security breach. We may suspend or restrict access to protect the service, other users, or to enforce these terms.

4. The service

Brandclip is a platform for generating short-form product videos, including AI-assisted scripts, visuals, voiceovers, captions, and editing tools. Brandclip may be offered in beta or preview form, and features may change, be added, or be removed over time.

We aim to keep Brandclip available and reliable, but we do not guarantee uninterrupted or error-free operation. Access may be limited by maintenance, usage limits, technical issues, or dependencies on third-party services.

5. Acceptable use

When using Brandclip, you agree not to:

• Use the service for unlawful, infringing, deceptive, harmful, or abusive purposes, or to create content that violates the rights of others.
• Upload or generate content you do not have the right to use, or that infringes intellectual property, privacy, or publicity rights.
• Create content that is defamatory, hateful, harassing, sexually exploitative, or that impersonates others or misrepresents endorsement.
• Attempt to reverse engineer, copy, resell, or create derivative services from Brandclip, except as permitted by law.
• Scrape, overload, disrupt, or circumvent usage limits, security measures, rate limits, or access controls.
• Use the service to build a competing product or to train competing models without our written permission.

6. Your content and input rights

You are responsible for the content you upload, submit, or generate, including product images, reference images, prompts, scripts, brand details, and any data imported from connected services such as Shopify. You represent that you have all necessary rights, licenses, and permissions to provide this content and to have it processed by Brandclip and its providers.

You grant Prismic Studio a worldwide, non-exclusive license to host, store, process, transmit, and display your content solely to operate, maintain, secure, and improve Brandclip and to provide the features you request. This license ends when your content is deleted, subject to backups and legal retention as described in our Privacy Policy.

7. AI-generated outputs, ownership, and transparency

Subject to your compliance with these terms and any applicable paid plan, you own the videos, images, voiceovers, and other outputs you generate with Brandclip, to the extent such outputs are eligible for ownership under applicable law. You are responsible for how you use these outputs.

AI-generated outputs may rely on third-party models and services and are provided subject to their terms. Outputs may be inaccurate, incomplete, or similar to content generated for other users, and we do not guarantee that outputs are unique, non-infringing, or fit for a particular purpose. You are responsible for reviewing outputs and ensuring your use is lawful and appropriate.

Brandclip outputs, including videos, images, and voiceovers, are generated or manipulated using artificial intelligence. Where required by applicable law, AI-generated media may carry machine-readable provenance markings applied by us or our AI providers, and you agree not to remove, alter, or obscure them. When you publish, share, or otherwise distribute outputs, you are responsible for disclosing that the content was artificially generated or manipulated wherever such disclosure is required, including under the EU AI Act. You must not present AI-generated outputs as authentic recordings of real people, statements, or events in a way that is deceptive or unlawful.

8. Billing, subscriptions, and credits

Some features require payment. Paid plans, credits, and transactions may be processed by our payment provider rather than by us directly. By purchasing a plan or credits, you authorize the applicable charges, including recurring charges for subscriptions until you cancel.

Prices, plans, and credit terms may change, and taxes may apply. Subscriptions renew automatically unless cancelled before the renewal date. Except where required by law, payments are non-refundable and credits may expire according to plan terms.

If you are a consumer in the European Union, you retain any mandatory statutory rights, including any applicable right of withdrawal. Where you request immediate access to digital content or services, you may acknowledge that your right of withdrawal is lost once performance begins, to the extent permitted by law.

9. Intellectual property

Brandclip, including its software, design, branding, trademarks, and all related intellectual property, is owned by Prismic Studio and its licensors and is protected by law. These terms do not grant you any rights in Brandclip other than the limited right to use the service as permitted here.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

10. Third-party services

Brandclip integrates with and depends on third-party services, including authentication providers such as Google, connected stores such as Shopify, and AI, media, hosting, analytics, and payment providers. Your use of those services is governed by their own terms and policies. Connecting a third-party service may allow Brandclip and that service to exchange information needed for the integration.

11. Disclaimers

To the maximum extent permitted by law, Brandclip is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the service or any AI outputs will meet your requirements or be error-free.

12. Limitation of liability

To the maximum extent permitted by law, Prismic Studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to your use of Brandclip. Our total liability for any claim relating to the service will not exceed the greater of the amounts you paid to us for Brandclip in the twelve months before the claim, or one hundred euros.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory rights of consumers in the Netherlands and the European Union.

13. Termination

You may stop using Brandclip and request account deletion at any time. We may suspend or terminate your access if you violate these terms, create risk or legal exposure, or if we discontinue the service. On termination, your right to use Brandclip ends, and we may delete your content subject to backups, legal retention, and the Privacy Policy.

Provisions that by their nature should survive termination, including ownership, disclaimers, liability limits, and governing law, will survive.

14. Governing law and disputes

These terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules. The competent courts of the Netherlands will have jurisdiction over disputes arising from or relating to these terms or Brandclip.

If you are a consumer in the European Union, this does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may be able to bring proceedings in your local courts.

15. Changes to these terms

We may update these Terms of Service from time to time. When we do, we will update the date at the top of this page. Material changes may be communicated through the service or by email where appropriate. Your continued use of Brandclip after changes take effect means you accept the updated terms.
